1. Agreement to Terms

MOBILE IT SOFTWARE LLC provides custom software development, mobile application development, IT consulting, cloud services, DevOps, quality assurance, maintenance and support, API integration, and UI/UX design services.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

4.2 Client Intellectual Property

For custom development projects, intellectual property rights will be defined in individual project agreements. Unless otherwise specified in writing, upon full payment, clients will own the custom code and deliverables created specifically for their project.

5. Payment Terms

Payment terms will be specified in individual project agreements or service contracts. General terms include:

• Discovery Phase: Payment required upfront before work begins
• Development Projects: Milestone-based payments as outlined in project agreements
• Retainer Services: Monthly payments due at the beginning of each billing period
• Late payments may incur interest charges and service suspension

6. Confidentiality

We understand the sensitive nature of business information. Both parties agree to maintain confidentiality of proprietary information shared during the course of our business relationship. Specific confidentiality terms will be outlined in Non-Disclosure Agreements (NDAs) when applicable.

7. Warranties and Disclaimers

7.1 Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables will be outlined in individual project agreements.

7.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN WRITING, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOBILE IT SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES.

9. Indemnification

You agree to indemnify, defend, and hold harmless MOBILE IT SOFTWARE LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services or violation of these Terms of Service.

10. Termination

Either party may terminate services according to the terms specified in individual project agreements. We reserve the right to suspend or terminate access to our services immediately, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties, or for any other reason.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Miami-Dade County, Florida.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated terms.
